1. Agreement to These Terms

By accessing or using the Zendyt LLC platform ("Service"), you ("Client" or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding legal agreement between you and Zendyt LLC, a Florida limited liability company ("Zendyt,""we," or "us").

2. Description of Service

Zendyt LLC provides a multi-tenant software platform that enables businesses to send WhatsApp messages to their end users through the Meta WhatsApp Business API. The Service is designed for businesses such as medical clinics, primarily operating in the Dominican Republic and the United States.

The Service integrates with the following third-party infrastructure:

  • Meta Platforms, Inc. / WhatsApp Business API – Message delivery network and template approval system.

  • Twilio Inc. – Telephony and messaging delivery infrastructure.

  • Airtable (Formagrid Inc.) – Data management and record storage.

Zendyt LLC acts as a Technology Provider under the Meta WhatsApp Business API program. Clients onboarded through the Zendyt platform operate within Zendyt’s technology provider portfolio and are subject to Meta’s WhatsApp Business Policies in addition to these Terms.

3. Client Responsibilities and Account Registration

You are responsible for:

  • Providing accurate business information during onboarding and keeping it current.

  • Maintaining the security of your account credentials and notifying us immediately of any unauthorized access.

  • Ensuring that all end-user contact data was collected lawfully and with explicit prior consent.

  • Complying with all applicable laws, including Dominican Republic Law 172-13 on Personal Data Protection, U.S. federal and state communications laws, and any sector-specific regulations (e.g., HIPAA/health privacy where applicable).

4. Acceptable Use and Anti-Spam Policy

Notice: This section is non-negotiable. Violations may result in immediate account suspension or termination without refund.

Permitted Use: You may use the Service to send WhatsApp messages of the type(s) explicitly provisioned for your account. All messages must comply with Meta's WhatsApp Business Policies.

Prohibited Actions:

  • Zero-Tolerance Spam: Sending any message to an end user who has not completed the Zendyt double opt-in enrollment process.

  • Third-Party Lists: Using purchased, rented, scraped, or harvested contact lists.

  • Tier Circumvention: Sending promotional content on an account provisioned for "Utility" messages only.

  • Impersonation: Falsely representing any person, business, or government entity.

  • Portfolio Risk: Engaging in behavior that triggers a "Yellow" or "Red" Sender Quality Rating. Zendyt reserves the right to suspend accounts to protect the shared portfolio status of other Clients.

5. WhatsApp and Third-Party Policy Compliance

The Service depends on infrastructure governed by third parties. By using Zendyt, you agree to:

Zendyt LLC is not responsible for infrastructure changes, template reclassifications, or account actions initiated by Meta or Twilio.

6. End-User Consent and Data Obligations

You represent and warrant that:

  • Every contact has explicitly opted in via the Zendyt double opt-in process.

  • You will honor all opt-out requests promptly.

  • You will maintain records of consent for a minimum of two (2) years.

7. Fees and Payment

  • Billing: Monthly flat management fee + variable messaging costs (passed through at cost from Meta/Twilio).

  • Due Date: Fees are due on the first day of each billing period.

  • Late Payment: Failure to pay within 15 days may result in service suspension.

  • Refunds: All fees are non-refundable.

8. Termination

  • By You: 30 days' written notice to [email protected].

  • By Zendyt: Immediate termination for policy violations, quality rating degradation, or non-payment.

  • Data Retention: Upon termination, data is held for 90 days for export before permanent deletion.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENDYT LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF REVENUE OR DATA). OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." ZENDYT LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. MESSAGE DELIVERY IS SUBJECT TO THE AVAILABILITY OF THIRD-PARTY NETWORKS.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida. Any dispute shall be resolved by binding arbitration in Pinellas County, Florida, under the rules of the American Arbitration Association. The prevailing party is entitled to recover reasonable attorney's fees.

12. Changes to These Terms

We may update these Terms at any time. We will provide 30 days' written notice of material changes via email. Continued use after the effective date constitutes acceptance of the updated Terms.
